For our client, a fast-growing investment platform, we are looking for an experienced and strategic Finance & M&A Director to join the team. This is a high-impact leadership role that combines financial stewardship and transaction execution, supporting the company’s ambitious buy-and-build strategy across Europe. Reporting to the CEO and working closely with shareholders, the board, and operating partners, the Finance & M&A Director will play a pivotal part in shaping financial structure, governance, and inorganic growth trajectory.

Job description

Key Responsibilities

Financial Strategy & Leadership

  • Oversee the financial management of the holding company, ensuring robust governance, accurate reporting, and compliance with international standards.
  • Lead budgeting, forecasting, cash flow planning, and long-term financial modeling to support strategic decision-making.
  • Manage banking relationships, treasury activities, and capital allocation across the portfolio.
  • Act as the main interface with external auditors, tax/legal advisors, and financial institutions.
  • Contribute to the development of scalable finance systems and processes to sustain growth.

M&A Execution & Portfolio Development

  • Lead financial analysis, valuation, and due diligence activities for acquisitions, disposals, and corporate restructuring initiatives.
  • Partner with the CEO and investment team to structure transactions, including equity, vendor financing, and bank facilities.
  • Coordinate end-to-end M&A execution: from target screening and evaluation to closing and post-merger integration.
  • Develop and maintain dynamic financial models and business cases to support investment decisions.
  • Drive portfolio value creation initiatives in collaboration with operating partners and portfolio company management.

FP&A & Performance Management

  • Design and implement a group-wide reporting and FP&A framework, ensuring alignment and consistency across portfolio companies.
  • Oversee consolidation and group performance tracking, providing actionable insights to management and investors.
  • Define and monitor key KPIs to drive operational excellence and investment returns.
  • Support carve-out projects, integration roadmaps, and transformation initiatives at portfolio level.

Governance, Compliance & Investor Relations

  • Ensure adherence to tax, legal, and regulatory requirements at both holding and portfolio company levels.
  • Prepare board materials, investor reports, and support shareholder resolutions and capital transactions.
  • Act as a trusted counterpart to shareholders and financial sponsors on strategic finance and deal-related topics.

Candidate Profile

We are looking for a finance and M&A leader with a strong investment mindset, eager to contribute to the growth journey of a dynamic, entrepreneurial platform.

The ideal candidate combines robust financial expertise with hands-on M&A experience, gained in investment funds, corporate development teams, Big 4 or investment banking. You are strategic, execution-oriented, and thrive in fast-paced, evolving contexts.

  • 10+ years of experience in finance and M&A within investment funds, industrial groups, or advisory firms.
  • Proven track record in leading M&A processes, including valuation, due diligence, structuring, and integration.
  • Solid expertise in FP&A, financial modeling, treasury, and reporting in international environments.
  • Strong stakeholder management skills, including interaction with boards, investors, and external advisors.
  • Fluency in English, Italian and German or French.
  • Entrepreneurial mindset, analytical rigor, and the ability to balance strategic vision with operational delivery.

Location

Italy (North) with regular travel within Europe.
